COMPREHENSIVE TERMS AND CONDITIONS OF USE
Effective Date: October 5, 2026 Governing Entity: CaliClear LLC ([https://caliclearllc.com](https://caliclearllc.com)) Corporate Counsel & Legal Inquiries: sales@caliclearllc.com
IMPORTANT LEGAL NOTICE: PLEASE READ THIS DOCUMENT WITH METICULOUS CARE. IT CONTAINS VITAL INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THIS INCLUDES EXPLICIT EXCLUSIONS OF LIABILITY, A BINDING ARBITRATION CLAUSE, AND A STRICT WAIVER OF CLASS ACTION RIGHTS.
1. Acceptance of Terms and Legal Capacity
By accessing, browsing, interacting with, creating an account upon, or purchasing any biochemical, hardware, or botanical product from [https://caliclearllc.com](https://caliclearllc.com) (hereinafter referred to as the “Site”), you, the user (hereinafter referred to as the “Client,” “You,” or “Your”), explicitly acknowledge that you have read, thoroughly comprehended, and agree to be unconditionally bound by these Master Terms and Conditions (the “Terms”).
If you do not agree to every single provision, stipulation, and waiver contained herein, your sole, exclusive, and immediate remedy is to permanently cease all use of the Site and destroy any downloaded materials obtained from the Site.
1.1 Age Affirmation and Legal Capacity: Access to this Site and the procurement of our highly regulated inventory is strictly restricted to individuals who have reached the age of twenty-one (21) years. By entering the Site, you legally warrant, represent, and testify under penalty of perjury that you are of legal age in your residing jurisdiction. CaliClear LLC aggressively prosecutes the submission of falsified identification, proxy purchasing for minors, and identity fraud to the fullest extent permitted by federal and state law.
2. Regulatory Compliance, FDA Disclaimers, and Health Warnings
The biochemical products, highly refined distillates, terpenes, and precision vaporization technologies available via CaliClear LLC are expressly NOT intended to diagnose, treat, mitigate, cure, or prevent any physical or psychological disease, disorder, or condition.
2.1 FDA Un-Evaluated Status: The statements, clinical literature, and marketing materials disseminated on this Site have not been evaluated, endorsed, or approved by the United States Food and Drug Administration (FDA) or any international equivalent regulatory body.
2.2 Assumption of Biological Risk: The inhalation of aerosolized botanical compounds carries inherent physiological and psychological risks. THC (Tetrahydrocannabinol) and related isomers are potent psychoactive substances that alter sensory perception, motor skills, and cognitive function. Consumption of our products may result in a failed employer-mandated or government-mandated drug screening.
2.3 Medical Consultation Mandate: You are strongly advised, and inherently assume the responsibility, to consult with a licensed, board-certified medical professional prior to initiating the use of any cannabinoid product. This is strictly imperative if you are pregnant, nursing, possess an underlying cardiovascular or neurological medical condition, or are currently administered prescription pharmaceuticals that may contraindicate with cannabinoids.
3. Client Account Obligations and Security
To access specific wholesale tiers, exclusive product drops, or to expedite the mandatory age-verification checkout process, you may be required to register a user account.
3.1 Fiduciary Responsibility of Information: You agree to provide true, accurate, current, and complete information regarding your identity, billing data, and age during the registration process. You are strictly prohibited from utilizing pseudonyms, proxy IPs, or synthetic identities. 3.2 Credential Security: You are solely and absolutely responsible for maintaining the confidentiality of your account credentials (username, password, and MFA tokens). CaliClear LLC shall not be held liable for any loss, unauthorized purchase, or data breach resulting from your failure to secure your digital credentials. 3.3 Account Revocation: CaliClear LLC reserves the unilateral right to suspend, terminate, or digitally purge any user account, at any time, without prior notice, if we suspect a violation of these Terms, engagement in chargeback fraud, or any illegal activity.
4. Acceptable Use and Prohibited Conduct
Your license to access the Site is heavily restricted. You explicitly agree NOT to engage in any of the following prohibited behaviors:
-
Commercial Exploitation: Reselling, wholesaling, or redistributing CaliClear LLC products without a formally executed, mathematically verified B2B Wholesale Distribution Contract signed by our corporate executives.
-
Digital Sabotage: Deploying spiders, scrapers, automated extraction bots, or malicious code (viruses, Trojans, logic bombs) against the Site’s architecture to harvest pricing data, user profiles, or proprietary algorithms.
-
Reverse Engineering: Attempting to decompile, reverse engineer, or mathematically deduce the exact chemical formulations, terpene ratios, or proprietary hardware schematics utilized by CaliClear LLC.
-
Regulatory Circumvention: Utilizing Virtual Private Networks (VPNs) or encrypted proxy servers to mask your true geographic location in an attempt to bypass our jurisdictional shipping embargoes.
5. Intellectual Property and Digital Asset Protection
All intellectual property residing on the Site—encompassing, but not limited to, corporate logos, proprietary source code, graphic UI/UX elements, product formulations, textual descriptions, high-resolution imagery, and heavily detailed laboratory documentation (Certificates of Analysis)—is the exclusive, copyrighted, and trademarked property of CaliClear LLC.
5.1 Limited License: You are granted a limited, revocable, non-transferable, and non-exclusive license to access the Site for personal, non-commercial shopping and educational purposes. 5.2 DMCA Enforcement: Any unauthorized scraping, data mining, reproduction, or wholesale commercial exploitation of our intellectual property is a direct violation of the Digital Millennium Copyright Act (DMCA) and international intellectual property treaties. CaliClear LLC utilizes automated web-crawlers to detect copyright infringement and will issue immediate Cease and Desist orders and pursue civil damages against infringing entities.
6. Product Descriptions, Pricing, and Transactional Authority
CaliClear LLC strives for the utmost precision in our product descriptions, chemical lab reports (COAs), and pricing metrics. However, we do not warrant that product descriptions, photographic representations, or other content is entirely error-free, complete, or current.
6.1 Pricing Volatility: The botanical and chemical commodities markets are highly volatile. We reserve the right to alter pricing, modify product availability, or discontinue specific chemical profiles at any time, without prior notice. 6.2 Order Cancellation Right: We reserve the sovereign right to refuse or cancel any order placed with us. In the event of a pricing error (e.g., a highly refined distillate listed at a fraction of its market value due to a typographical error), CaliClear LLC shall have the right to refuse or cancel any orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed and your credit card charged. If charged, a full reversal will be immediately issued.
7. Absolute Limitation of Liability and Disclaimer of Warranties
THE SITE, ITS OPERATIONAL ARCHITECTURE, ITS CONTENTS, AND ALL BIOCHEMICAL OR HARDWARE PRODUCTS PROCURED THROUGH IT ARE PROVIDED STRICTLY ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
To the maximum extent permissible by applicable constitutional law, CaliClear LLC, its executive officers, directors, shareholders, employees, subsidiaries, third-party laboratory partners, and legal affiliates expressly disclaim all warranties of any kind, whether express, implied, or statutory. This includes, but is not limited to, the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.
Limitation of Damages Cap: Under no conceivable legal theory (whether in tort, contract, strict liability, or otherwise) shall CaliClear LLC be held liable for any indirect, incidental, punitive, special, or consequential damages. This includes, without limitation, damages for loss of profits, loss of wages, loss of goodwill, medical expenses, legal fees, or bodily injury arising out of or in any way connected with the use of the Site, the use of our vaporization hardware, or the physiological consumption of our chemical products, even if CaliClear LLC has been advised of the possibility of such damages. In no event shall CaliClear LLC’s total aggregate liability to you for all damages exceed the total amount paid by you to CaliClear LLC in the preceding twelve (12) months.
8. Comprehensive Indemnification Clause
You agree to comprehensively defend, indemnify, and hold completely harmless CaliClear LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including exhaustive attorneys’ fees and expert witness costs) arising out of or relating to:
-
Your explicit violation of any provision of these Terms.
-
Your use of the Site or the products, including any unlawful, reckless, or negligent handling of the vaporization hardware (e.g., utilizing unregulated power supplies resulting in thermal runaway).
-
Your violation of any municipal, county, state, or federal law.
-
Any claim that your use of the products caused physical, psychological, or financial damage to a third party.
9. Binding Arbitration and Absolute Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY—IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
9.1 Mandatory Arbitration: Any dispute, controversy, claim, or legal action arising out of or relating to these Terms, the breach thereof, the Site’s privacy protocols, or the purchase and consumption of products from CaliClear LLC, shall be settled exclusively by confidential, binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, rather than in a court of general jurisdiction. 9.2 Arbitrator Authority: The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms. 9.3 Class Action Waiver: You and CaliClear LLC explicitly agree that any arbitration or legal proceeding shall be conducted solely on an individual, case-by-case basis. YOU EXPRESSLY WAIVE ANY RIGHT TO BRING, REPRESENT, OR JOIN ANY CLASS ACTION, CONSOLIDATED LEGAL ACTION, OR REPRESENTATIVE PROCEEDING AGAINST CALICLEAR LLC.
10. Force Majeure
CaliClear LLC shall not be held liable for any failure or delay in performance under these Terms (including logistics delays or inventory shortages) to the extent such failure or delay is caused by conditions beyond our reasonable control. This includes, but is not limited to: Acts of God, extreme weather events, global pandemics, government embargoes, legislative changes rendering the product illegal, postal network collapses, strikes, or acts of terrorism.
11. Severability and Entire Agreement
If any provision of these Terms is determined by a tribunal or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be deemed severable and heavily modified to the minimum extent necessary to make it enforceable. The invalidity of one provision shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect. These Terms constitute the entire, unadulterated agreement between you and CaliClear LLC, superseding any prior or contemporaneous communications.
